Deemed interest by virtue of my interest in TCC pursuant to Section 6A of the Companies Act, 1965. The transfer by TCC to HSBC Trustee is pursuant to the Compromise and Settlement Agreement dated 22 June 2009 as amended by a Supplemental Agreement dated 28 July 2009 entered into between and amongst TCC and all its shareholders following a court order made on 20 October 2009 (the "Court Order") filed with the Registrar of Companies on 3 November 2009 for the selective capital reduction of TCC by the cancellation of all the shares in TCC held by the exiting minority shareholders of TCC identified in the Court Order.
